The class-action lawsuit, filed in February, 2006, alleged that OmniCare and certain of its officers and directors made false and misleading statements in the Registration Statement and Prospectus issued in connection with OmniCare’s Offering of 12,825,000 shares on or about December 12, 2005, which violated the Securities Exchange Act of 1934.
Class members who purchased or otherwise acquired the common stock of OmniCare pursuant and/or traceable to the Registration Statement and Prospectus for the Company’s December 12, 2005 Offering.
